Agreement to Terms

Welcome to WorkFlow. By accessing or using our project management platform ("Service"), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, please discontinue use of the Service immediately.


1. Definitions

  • "WorkFlow," "we," "us," or "our" refers to the WorkFlow platform and its operators.

  • "User," "you," or "your" refers to anyone accessing or using the Service.

  • "Workspace" means an organization or collaborative environment within the platform.

  • "Content" means any data, files, text, or materials uploaded or generated by users.

  • "Free Plan" refers to our basic plan with usage limitations.

  • "Pro Plan" refers to our paid subscription tier with expanded features.


2. Eligibility

2.1 Age Requirement

You must be at least 13 years old to use WorkFlow. Users under 18 must have permission from a parent or legal guardian.

2.2 Account Authority

By creating an account, you confirm that:

  • You have the legal authority to enter into this agreement

  • All information you provide is truthful and current

  • You will update your information as needed

  • You are not barred from using the Service under applicable laws


3. Account Registration and Security

3.1 Account Creation

  • Provide accurate, complete information when registering.

  • You are responsible for securing your login credentials.

  • Notify us immediately of any unauthorized account access.

  • You may not maintain more than one Free Plan account.

3.2 Account Responsibility

You are responsible for:

  • All actions taken under your account

  • Protecting your password

  • Content uploaded from your account

  • Ensuring workspace members comply with these Terms

3.3 Account Termination

We may suspend or terminate accounts that:

  • Violate these Terms

  • Engage in fraudulent/illegal activity

  • Abuse platform features

  • Remain inactive for extended periods (Free Plan only)


4. Subscription Plans and Billing

4.1 Free Plan

The Free Plan includes:

  • Up to 3 team members

  • Up to 5 projects

  • Basic project management

  • No AI features

Limitations:

  • Limits cannot be exceeded

  • Bypassing limits may lead to suspension

  • Free Plan features may change with 30 days’ notice

4.2 Pro Plan

The Pro Plan includes:

  • Unlimited team members

  • Unlimited projects

  • AI features (assistant, file uploads, analysis)

  • Priority support

  • Advanced analytics

Billing:

  • Monthly or annual

  • Pricing may change with 30 days’ notice

  • Auto-renewal applies

  • 30-day refund period available for first-time purchases

4.3 Payment Terms

  • Fees are charged in USD (or your local currency)

  • Payments are processed through secure third-party providers

  • You authorize automatic charges to your payment method

  • Failed payments may result in service restrictions

  • You are responsible for applicable taxes

4.4 Cancellation and Refunds

  • Cancel anytime; access remains until the billing cycle ends

  • No partial-month refunds (except 30-day guarantee)

  • After cancellation, your workspace reverts to Free Plan limits

  • You must reduce members/projects to continue using Free Plan

4.5 Downgrades

When downgrading from Pro to Free:

  • Reduce members to 3 or fewer

  • Reduce projects to 5 or fewer

  • AI features are disabled

  • Excess data is stored but inaccessible


5. Acceptable Use Policy

5.1 Permitted Use

You may use WorkFlow to:

  • Manage and track projects

  • Collaborate with team members

  • Store work-related content

  • Use AI responsibly (Pro Plan)

5.2 Prohibited Activities

You may NOT:

  • Break laws or regulations

  • Infringe intellectual property rights

  • Upload malware, viruses, or harmful code

  • Attempt to hack, reverse engineer, or bypass security

  • Harass or harm users

  • Spam or misuse communication tools

  • Scrape or mine data

  • Create multiple accounts to avoid Free Plan limits

  • Resell or rebrand the platform without authorization

5.3 Content Restrictions

You may NOT upload:

  • Illegal or abusive content

  • Copyrighted content without permission

  • Personal data of others without consent

  • Harmful or malicious files


6. Intellectual Property

6.1 Your Content

  • You retain ownership of the content you upload

  • You grant us a license to process and display your content to operate the Service

  • You must ensure you have rights to the content you upload

6.2 Our Intellectual Property

  • The WorkFlow platform and its components belong to us

  • You may not use our branding without written permission

  • You receive a limited, non-exclusive license to use the Service

6.3 AI-Generated Content

  • AI outputs belong to you

  • Provided “as-is” without guarantees

  • You must review and validate all AI-generated content

  • Your data is not used to train AI models


7. Privacy and Data Protection

7.1 Privacy Policy

Your use of the Service is also governed by our Privacy Policy.

7.2 Data Processing

  • We process your data as described in the Privacy Policy

  • We apply reasonable technical and organizational safeguards

  • GDPR/CCPA compliance applies

  • Workspace owners must ensure member consent

7.3 Data Ownership

  • You own your data

  • We do not sell your data

  • You may export your data anytime

  • Data is deleted within 30 days after account deletion


8. AI Features (Pro Plan Only)

8.1 AI Services

  • Powered by Google's Gemini AI

  • Used to generate insights, summaries, and automation

  • Your data is not used to train external models

8.2 AI Limitations

  • AI may produce inaccurate or incomplete information

  • We are not liable for decisions made based on AI output

8.3 Responsible AI Use

You agree not to:

  • Generate illegal or harmful content

  • Attempt to exploit the AI

  • Violate third-party AI policies


9. Service Availability and Support

9.1 Service Uptime

We aim for 99.9% uptime, but do not guarantee uninterrupted access.

9.2 Support

  • Free Plan: community support/docs

  • Pro Plan: priority support (24-hour response time)

9.3 Updates and Changes

We may modify or update features over time. Continued use means acceptance.


10. Limitation of Liability

10.1 Disclaimer

The Service is provided “as-is” without warranties of any kind.

10.2 Liability Limits

To the fullest extent permitted by law:

  • We are not liable for indirect or consequential damages

  • Our total liability is limited to fees paid in the past 12 months

  • We are not responsible for data loss

10.3 Indemnification

You agree to indemnify WorkFlow against claims arising from:

  • Your use of the Service

  • Your content

  • Your violation of these Terms


11. Termination

11.1 Termination by You

You may delete your account at any time.

11.2 Termination by Us

We may suspend or terminate accounts for:

  • Violations of these Terms

  • Fraudulent activity

  • Legal requirements

  • Prolonged inactivity (Free Plan)

11.3 Effect of Termination

  • Access is revoked immediately

  • Data is deleted within 30 days

  • Unpaid fees remain due


12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of [Your Jurisdiction].

12.2 Arbitration

Disputes will be resolved through binding arbitration, except for:

  • Small claims

  • IP disputes

  • Injunction requests

12.3 Class Action Waiver

You agree not to participate in class or collective actions.


13. Modifications to Terms

13.2 Notification

We will notify users via:

  • In-app alerts

13.3 Acceptance

Continued use after changes means acceptance.


14. General Provisions

14.1 Entire Agreement

These Terms and our Privacy Policy form the full agreement.

14.2 Severability

Unenforceable provisions do not invalidate the rest.

14.3 No Waiver

Failure to enforce a provision is not a waiver.

14.4 Assignment

You may not assign these Terms; we may assign them as needed.

14.5 Force Majeure

We are not liable for events beyond our control.
